Common Contract Mistakes

I know, I know. This is the part where you roll your eyes and scroll past. ⠀⁣

Not more contract talk! ⠀⁣

That contract you’re worrying about is probably the LAST thing you want to have to think about at the end of the day. ⠀⁣
⠀⁣
They’re long. ⠀⁣
They’re confusing. ⠀⁣
They’re a waste of time. ⠀⁣

Let’s shift our mindset around contracts. Why do we have to use them, anyway?⠀⁣

To PROTECT our businesses! ⠀⁣

Also, contracts make you look 1000x more professional. Want to be taken seriously? Present your own contract when it comes time to seal the deal. ⠀⁣

So whether you’re reviewing one now, you have one on the back burner, or you’ve been negotiating one back and forth...⠀⁣

SAVE this post & keep these common mistakes in mind when dealing with that contract!⠀⁣

Governing Law: if you’re in CA and the other party is in a different state - review what law will apply to your agreement. (hint: you want your state law to apply!)⠀⁣
⠀⁣
Intellectual Property: Trademarks and copyrights - hang onto them! You could be accidentally handing out your intellectual property rights by working with a partner or collaborator if this isn’t in your agreement. ⠀⁣

Term: I don’t just mean does your agreement lay out a start date and an end date. Check to see if there is a way for you to get OUT of the agreement if the other party isn’t pulling their weight. (this happens a lot). ⠀⁣

Signature: Are you and the other party signing on the dotted line as the correct individual/entity? (i.e. - If you have an LLC, are you signing as the owner or as your individual self?)⠀⁣
